Terms and conditions governing access to and use of trivanta.cloud, the Nectra Suite, and Trivanta's professional services.
These Terms & Conditions ("Terms") govern your access to and use of the Trivanta Ltd website at https://trivanta.cloud, our Nectra Suite of platforms, and our professional services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You agree to use the Services only for lawful business purposes and not to:
Where access to the Services requires an account, you are responsible for safeguarding your credentials and for all activity conducted under your account. You agree to notify us promptly of any unauthorised use or suspected security incident affecting your account.
The Services, including the Nectra Suite, all software, content, designs, trademarks, and logos, are owned by or licensed to Trivanta Ltd and are protected by Mauritian and international intellectual-property laws. No rights are granted to you except for the limited right of access expressly stated in these Terms or in a separate written agreement with us.
Consulting, training, cybersecurity, and software-development engagements are delivered under separate written statements of work or service agreements that prevail over these Terms in case of conflict, to the extent of the conflict.
Fees for paid Services are specified in the applicable order form or statement of work. Unless otherwise agreed, invoices are payable within thirty (30) days of the invoice date. Late payments may incur interest at the maximum rate permitted by law.
Each party shall protect the other party's Confidential Information with the same degree of care it uses to protect its own confidential information, and in any event no less than a reasonable degree of care. Confidential Information shall be used solely to perform obligations and exercise rights under these Terms.
Our processing of personal data is governed by our Privacy Policy, which forms part of these Terms. Where we process personal data on your behalf as a processor, a separate data-processing agreement applies.
The Services may integrate with third-party platforms (such as cloud providers, identity providers, analytics and security services). Your use of those third-party services is subject to their own terms and privacy policies, and we are not responsible for their conduct or content.
Except as expressly set out in a written agreement with you, the Services are provided "as is" and "as available". To the maximum extent permitted by law, Trivanta Ltd disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, in no event shall Trivanta Ltd, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services. Our aggregate liability under these Terms shall not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Trivanta Ltd and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Services.
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law. Provisions that by their nature should survive termination will survive, including intellectual-property, confidentiality, liability, and dispute-resolution clauses.
These Terms are governed by the laws of the Republic of Mauritius. The courts of Mauritius shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer rights you may have in your country of residence.
We may update these Terms from time to time. The "Last updated" date above will be revised, and material changes will be highlighted on this page. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
